Terms of Use

• "Karats": promotional loyalty points issued by VIRE for eligible actions and redeemable for listed rewards; not money or a prepaid instrument.
• "User": an individual using the consumer app or site.
• "Merchant": a participating business that honors rewards and displays VIRE assets.
• "Services": the VIRE platform, membership logic, Karats issuance/redemption, and related features.

You must be at least 18, capable of forming a binding contract, and provide accurate information. You are responsible for maintaining the confidentiality of your login credentials and all activity under your account.

VIRE operates a membership and rewards platform that enables Users to earn Karats at participating merchants and redeem them for listed rewards, subject to availability and the rules below. VIRE may update, suspend, or discontinue features at any time.

Merchants agree to (i) display VIRE assets (posters/QRs), (ii) honor redemptions verified by the app, and (iii) not misrepresent program benefits. Merchant inventory, pricing, service quality, staff conduct, timings, and legal compliance remain the Merchant's responsibility. A detailed Merchant Addendum may apply for specific outlets or pilots.

You agree not to: abuse rewards; create multiple or fake accounts; use bots or scripts; tamper with QR/device identifiers; reverse engineer the Service; or use it for unlawful purposes. VIRE may suspend or terminate accounts for violations.

All platform software, trademarks (including VIRE and Karats), content, and design are owned by VIRE or its licensors. Users receive a limited, non-exclusive, revocable license to use the app/site for personal, non-commercial purposes. Merchant marks remain their property.

You consent to receive service and transactional communications (SMS, email, WhatsApp, in-app). Marketing communications will follow consent and opt-out mechanisms.

The Service may link to third-party sites or use third-party services (e.g., maps, analytics, payment gateways). VIRE is not responsible for third-party content, policies, or actions.

The Service and rewards are provided "as is" and "as available." VIRE disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. VIRE does not guarantee (i) reward availability; (ii) uninterrupted or error-free operation; or (iii) any business revenue impact for Merchants.

To the maximum extent permitted by law, VIRE is not liable for indirect, incidental, special, punitive, or consequential damages, loss of profits or data, or third-party conduct. VIRE's aggregate liability for all claims in any 12-month period will not exceed the greater of (i) INR 10,000, or (ii) the total fees paid by you to VIRE for the Services giving rise to the claim in that period (excluding the value of Karats).

You agree to indemnify and hold harmless VIRE and its officers, directors, employees, and agents from claims arising out of your use of the Services, breach of these Terms, or violation of law or third-party rights.

VIRE may suspend or terminate your account immediately for suspected fraud, misuse, or policy breach. You may close your account at any time; accrued, unexpired Karats may lapse upon closure as per program rules.

We may modify these Terms prospectively. Continued use after changes indicates acceptance. Material changes will be notified in-app or on the site.

These Terms are governed by Indian law. Courts at Chennai, Tamil Nadu shall have exclusive jurisdiction. Nothing limits either party's right to seek equitable relief.

VIRE is not liable for delays or failures due to events beyond reasonable control, including network failures, acts of God, or governmental actions.

These Terms (with the Privacy Policy and any Merchant Addendum where applicable) form the entire agreement. If any provision is unenforceable, the remainder remains in effect. You may not assign your rights without our consent. We may assign to an affiliate or successor in interest.
